NOTICE OF SPECIAL GENERAL MEETING
Notice is hereby given that a Special General Meeting of members of Kenwick Football Club Inc (the Club) will be held on Thursday, 27 June 2019, commencing at 7.15pm at The Kenwick Football Club, Mills Park Complex, Brixton Street, Beckenham, WA.
Purpose
Following the introduction of the new Associations Incorporation Act 2015 (Act) in Western Australia all incorporated bodies are required to update their constitution by 1 July 2019 to comply with the Act.
The Club’s current constitution does not fully comply with the Act.
The Committee believe that is preferable in the circumstances to replace the existing constitution with the proposed constitution rather than to amend a multitude of specific provisions.
The proposed constitution is broadly consistent with the provisions of the existing constitution. Many of the proposed changes are administrative or minor in nature. The Committee believe the amendments are not material nor will they have any significant impact on members.
A copy of the proposed new constitution is available for review by members at the Club’s website at
www.kenwickfc.com and at the Club’s registered office Mills Park Complex, Brixton Street, Beckenham, WA, by arrangement.
A copy of the proposed constitution can also be sent to members upon request to the Club’s secretary. Members are invited to contact the Club if they have any queries or concerns at kenwickfootball@gmail.com.
The proposal to repeal the existing constitution and adopt a new constitution is a special resolution. Accordingly, at least 75% of votes cast by members present and eligible to vote at the meeting must be in favour of the resolution for it to be passed.
Proposal
To consider and, if thought fit, to pass the following resolution as a special resolution:
That, for the purposes of section 30 of the Associations Incorporation Act 2015 and for all other purposes, approval is given for the Club to repeal its existing constitution and adopt a new constitution in its place in the form tabled and signed by the chairman of the meeting for identification purposes.
